Platform Security: Third-party platforms we configure have their own security measures:

What is the scope of your AI services?

AI Services Scope:

For engagements involving Artificial Intelligence ("AI") services, including but not limited to configuration of Custom GPTs, OpenAI Assistants, AI Agents, and related workflows, our role is strictly limited to providing consulting and resource-based professional services.

Important Clarifications:

  • We do not develop, sell, sublicense, or otherwise convey ownership or license rights to any third-party AI software or platforms
  • We do not provide, resell, or sublicense third-party AI platforms (including but not limited to OpenAI, Anthropic, n8n, RetellAI)
  • Client's use of such platforms is governed exclusively by the platform provider's terms of service
  • We shall have no liability for platform downtime, API changes, pricing modifications, data handling, output quality, or policy violations by the platform provider or Client

Our role is configuration, integration, and consulting only.

Technical & Operational Questions
Can agents handle seasonal volume spikes?

Yes. Voice agents can scale to handle increased call volume. Data processing agents handle volume increases without issue. However:

  • Significant volume increases may require infrastructure scaling (additional costs)
  • Decision rules may need adjustment if seasonal patterns differ from normal

Your Control:

No Long-Term Storage By Us: We do not maintain long-term copies of your operational data. Data exists only in the platforms you license and control.

Upon Service Termination:

AI Services - Specific Terms & Limitations
Who is responsible for third-party AI platform licenses and costs?

Third-Party AI Licenses:

Client shall be solely responsible for procuring and maintaining, at its own cost, all third-party licenses, subscriptions, and usage rights required for AI services, including but not limited to:

  • OpenAI (GPT models, Assistants API, etc.)
  • Anthropic Claude
  • Retell AI (voice platform)
  • n8n or Make.com (workflow automation)
  • Any other AI or automation platforms used in the solution

We Bear No Responsibility For:

  • Payment of such license fees or usage charges
  • Any changes, suspensions, or terminations in vendor pricing, availability, or policies
  • Platform service interruptions or degradations
  • Vendor policy changes affecting your use case

You maintain direct relationships with these platform providers and are subject to their terms.

Technical & Operational Questions
What if our business rules change?

Business rule changes are normal and expected. You can:

  • Minor changes: Adjust thresholds, update templates (you or us, depending on support agreement)

Important: Platform subscription and usage costs are YOUR responsibility and billed directly by platform providers.

These platform costs are outlined during discovery so you can budget appropriately.

What if a customer or vendor gets angry or demands a human?

If Client uses Services or deliverables outside the United States or Canada, Client shall ensure compliance with all applicable laws including:

  • AI-specific regulations in applicable jurisdictions
  • Industry-specific compliance requirements

Client Responsibility: Client shall indemnify us for any violations arising from such international use. We make no representations about compliance of AI services with laws outside the United States and Canada.

How do agents handle exceptions or errors?

When agents encounter situations they cannot handle:

  1. Agent recognizes limitation or ambiguity
  2. Creates escalation record with details
  3. Notifies appropriate staff (email, SMS, dashboard alert)
  4. Provides complete context for human review
  5. Waits for human decision
  6. Resumes when human resolves

Agents fail gracefully, not catastrophically. Escalation is feature, not bug.

Vendor & Partner Questions
What if we are currently implementing ERP?

What if our ERP system updates or changes?

Agents integrate through standard API patterns that remain stable across ERP versions. Minor system updates typically do not affect agent operation. Major version changes or system replacements may require integration review and potential updates, but not complete agent rebuilds.

We can monitor for ERP updates and proactively address any integration impacts. This is covered under ongoing support agreements.

Training & Support
What happens if we want to cancel or stop using the agent?

Client-Hosted Infrastructure:

The AI agent solution is deployed and hosted in Client's own environment (Client's cloud account, self-hosted servers, or Client's selected infrastructure). We do not host, operate, or control the deployed agent.

Upon Service Termination:

If Client decides to discontinue our consulting and support services:

  • Provide notice per service agreement (typically 30-60 days)
  • Our consulting and support obligations cease per notice period
  • Client retains full access to deployed agent code and configurations
  • No ongoing support or maintenance obligations after agreement termination

Client's Continued Use Rights:

Client may continue to use the deployed agent solution after service termination:

  • The agent code and configurations remain deployed in Client's infrastructure
  • Client maintains full operational control and access
  • Client is solely responsible for ongoing operation, maintenance, and support
  • Client may modify, update, or deactivate the agent at Client's discretion
  • Client is responsible for maintaining platform subscriptions (Supabase, n8n, Retell AI, OpenAI, etc.) if continued operation is desired

Code and Intellectual Property:

Client's Rights: Subject to full payment of all fees, Client receives a perpetual, non-exclusive, royalty-free license to use, operate, and modify the delivered code and configurations for Client's internal business purposes. Client owns the deployed instance and may continue using it indefinitely.

Our Rights: We retain ownership of all methodologies, frameworks, techniques, know-how, and reusable components used to create the solution. We have the unrestricted right to:

  • Reuse all methodologies, frameworks, and techniques for other clients
  • Develop similar solutions for other clients
  • Use the knowledge and experience gained for other engagements
  • Create derivative works based on our methodologies

What This Means: Client owns the specific deployed code for Client's use. We own the right to create similar solutions for others using the same methodologies and frameworks. Neither party may restrict the other's rights as described above.

Infrastructure Wind-Down:

If Client chooses to decommission the agent:

  • Client is solely responsible for deactivating services in Client's infrastructure
  • Client is responsible for canceling platform subscriptions (Supabase, n8n, Retell AI, OpenAI, etc.)
  • Client is responsible for data backup and archival per Client's policies
  • We have no access to or control over Client's infrastructure for wind-down purposes

No Ongoing Obligations:

After service termination:

  • We have no obligation to maintain, update, or support the deployed agent
  • We have no access to Client's infrastructure or deployed code
  • Client may not contact us for technical support unless a new agreement is executed
  • All warranties and support commitments cease per the termination notice period

Professional Transition:

We will assist with transition planning during the notice period to ensure Client understands ongoing operational requirements and can operate the agent independently or with alternative support providers.

What is the client's indemnification obligation for AI services?

Client Indemnification:

Without limiting other indemnification obligations, Client shall indemnify, defend, and hold harmless our company from and against any claims, damages, or liabilities arising out of or related to:

AI Output Reliance:

  • Client's reliance on AI-generated outputs, including the accuracy, content, behavior, or results of AI systems
  • Decisions made based on AI recommendations or analysis
  • Actions taken in reliance on AI-generated information

Compliance Violations:

  • Client's use of AI services for unlawful or non-compliant purposes
  • Regulatory, legal, or compliance violations involving AI deployments
  • Violations of platform provider terms of service

Intellectual Property:

  • Infringement or violation of third-party intellectual property or other rights caused by Client's use of AI services or AI-generated content
  • Claims that AI outputs infringe patents, copyrights, or other IP rights

Business Impact:

  • Any loss of customers, revenue, goodwill, or business opportunities arising from or associated with AI deployments
  • Reputational harm from AI outputs or behavior
  • Customer complaints or litigation related to AI interactions

This indemnification is in addition to liability limitations stated elsewhere and survives termination of services.
